  1. KINETIX (tm), A DIVISION OF AUTODESK, INC.
  2. ELECTRONIC END USER LICENSE 
  3. AGREEMENT FOR UNRELEASED SOFTWARE
  4.  
  5. NOTICE TO USER: 
  6.  
  7. THIS IS A CONTRACT. BY INSTALLING THIS 
  8. SOFTWARE YOU ACCEPT ALL THE TERMS 
  9. AND CONDITIONS OF THIS AGREEMENT. 
  10.  
  11.  
  12. This Kinetix End User License Agreement for 
  13. Unreleased Software accompanies an unreleased 
  14. version of an Kinetix software product and related 
  15. explanatory materials ("Software"). The term 
  16. "Software" shall also include any upgrades, modified 
  17. versions or updates of the Software licensed to you by 
  18. Kinetix. This copy of the Software is licensed to you 
  19. as the end user. Please read this Agreement carefully.

  21. Kinetix grants to you a nonexclusive license to use 
  22. the Software for evaluation and trial use purposes 
  23. only, provided that you agree to the following: 
  24.  
  25. 1. Use of the Software. 
  26.  
  27. You may install the Software in a single location on a 
  28. hard disk or other storage device; install and use the 
  29. Software on a file server for use on a network for the 
  30. purpose of installation onto hard disks or other 
  31. storage devices or use of the Software over such 
  32. network; and make backup copies of the Software. 
  33. You may make unlimited copies of the Software and 
  34. give copies to other persons or entities so long as (i) 
  35. you do not relicense the Software as a stand-alone 
  36. product or as a product of which the Software is the 
  37. primary source of value and (ii) all copies contain this 
  38. Agreement and the same copyright and other 
  39. proprietary notices that appear on or in the Software. 
  40.  
  41. 2. Copyright. The Software is owned by Kinetix and 
  42. its suppliers, and its structure, organization and code 
  43. are the valuable trade secrets of Kinetix and its 
  44. suppliers. The Software is also protected by United 
  45. States Copyright Law and International Treaty 
  46. provisions. You agree not to modify, adapt, translate, 
  47. reverse engineer, decompile, disassemble or 
  48. otherwise attempt to discover the source code of the 
  49. Software. You may use trademarks only to identify 
  50. printed output produced by the Software, in 
  51. accordance with accepted trademark practice, 
  52. including identification of trademark owner's name. 
  53. Such use of any trademark does not give you any 
  54. rights of ownership in that trademark. Except as 
  55. stated above, this Agreement does not grant you any 
  56. intellectual property rights in the Software. 
  57.  
  58. 3. Cooperation with Kinetix. During the term of this 
  59. Agreement, you will provide feedback to Kinetix 
  60. regarding testing and use of the Software, including 
  61. error or bug reports. 
  62.  
  63. 4. No Warranty. You acknowledge that the Software 
  64. is a pre-release, prototype version, does not represent 
  65. final product from Kinetix, and may contain bugs, 
  66. errors and other problems that could cause system 
  67. failures. Consequently, the Software is provided to 
  68. you "AS IS," and Kinetix disclaims any warranty or 
  69. liability obligations to you of any kind. You 
  70. acknowledge that Kinetix has not promised or 
  71. guaranteed to you that such Software will be 
  72. announced or made available to anyone in the future, 
  73. that Kinetix has no express or implied obligation to 
  74. you to announce or introduce the Software and that 
  75. Kinetix may not introduce a product similar or 
  76. compatible with the Software.

  79. Accordingly, you acknowledge that any research or 
  80. development that you perform regarding the Software 
  81. or any product associated with the Software is done 
  82. entirely at your own risk. KINETIX AND ITS 
  83. SUPPLIERS DO NOT AND CANNOT WARRANT 
  84. THE PERFORMANCE OR RESULTS YOU MAY 
  85. OBTAIN BY USING THE SOFTWARE OR 
  86. DOCUMENTATION. KINETIX AND ITS 
  87. SUPPLIERS MAKE NO WARRANTIES, EXPRESS 
  88. OR IMPLIED, AS TO NONINFRINGEMENT OF 
  89. THIRD PARTY RIGHTS, MERCHANTABILITY, 
  90. OR FITNESS FOR ANY PARTICULAR PURPOSE. 
  91. IN NO EVENT WILL KINETIX OR ITS 
  92. SUPPLIERS BE LIABLE TO YOU FOR ANY 
  93. CONSEQUENTIAL, INCIDENTAL OR SPECIAL 
  94. DAMAGES, INCLUDING ANY LOST PROFITS 
  95. OR LOST SAVINGS, EVEN IF AN KINETIX 
  96. REPRESENTATIVE HAS BEEN ADVISED OF 
  97. THE POSSIBILITY OF SUCH DAMAGES, OR 
  98. FOR ANY CLAIM BY ANY THIRD PARTY.

  100. Some states or jurisdictions do not allow the 
  101. exclusion or limitation of incidental, consequential or 
  102. special damages, or the exclusion of implied 
  103. warranties or limitations on how long an implied 
  104. warranty may last, so the above limitations may not 
  105. apply to you. 
  106.  
  107. 5. Termination of Use. Upon your receipt of a later 
  108. unreleased version of the Software or a publicly 
  109. released commercial version of the Software, you 
  110. agree to destroy all earlier unreleased versions of the 
  111. Software received from Kinetix and to abide by the 
  112. terms of the End User License Agreement for any 
  113. such later versions of the Software.

  115. 6. Governing Law and General Provisions. This 
  116. Agreement will be governed by the laws of the State 
  117. of California, U.S.A., excluding the application of its 
  118. conflicts of law rules. This Agreement will not be 
  119. governed by the United Nations Convention on 
  120. Contracts for the International Sale of Goods, the 
  121. application of which is expressly excluded. If any part 
  122. of this Agreement is found void and unenforceable, it 
  123. will not affect the validity of the balance of the 
  124. Agreement, which shall remain valid and enforceable 
  125. according to its terms. You agree that the Software 
  126. will not be shipped, transferred or exported into any 
  127. country or used in any manner prohibited by the 
  128. United States Export Administration Act or any other 
  129. export laws, restrictions or regulations. This 
  130. Agreement shall automatically terminate upon failure 
  131. by you to comply with its terms.

  133. This Agreement may only be modified in writing 
  134. signed by an authorized officer of Kinetix. 
  135.  
  136. 7. Notice to Government End Users. If this product is 
  137. acquired under the terms of a: GSA contract- Use, 
  138. reproduction or disclosure is subject to the 
  139. restrictions set forth in the applicable ADP Schedule 
  140. contract; DoD contract- Use, duplication or 
  141. disclosure by the Government is subject to 
  142. restrictions as set forth in subparagraph (c) (1) (ii) of 
  143. 252.227-7013; Civilian agency contract- Use, 
  144. reproduction, or disclosure is subject to 52.227-19 (a) 
  145. through (d) and restrictions set forth in the 
  146. accompanying end user agreement.

  149. of the United States.
